How to Avoid Risky Board Behavior - Practicing Safe SOX - Effective Governance in the Post-Enron Environment


Today's news headlines are replete with stories about questionable behavior by those entrusted with corporate governance.  Enron, Global Crossing, HealthSouth and no less than the New York Stock Exchange have come under fire.

These stories have had a significant impact on the nonprofit health care sector.  Among other things, the JCAHO has announced a new accreditation model for hospitals that requires them to address new governance standards.  The IRS published a reference guide for tax-exempt organizations that reiterates the need for a comprehensive conflicts of interest policy.  The OIG issued additional corporate compliance guidance - all of which makes it clear that the government expects hospital boards to receive training and guidance to fulfill the board's fiduciary duties.
