Carl W. Struby
Mr. Struby serves as securities counsel to many of the firm’s publicly reporting clients. Mr. Struby has represented issuers in offerings aggregating over $4 billion and assists publicly reporting clients with their reporting obligations and Sarbanes-Oxley compliance.
Mr. Struby also works with clients who are acquiring or selling businesses and in a variety of other commercial contexts. The transaction values of acquisitions that he has worked on aggregate over $1.6 billion. He also has served as special counsel to independent board committees in sale of control contexts involving three public companies.
Significant representations include:
- Negotiating strategic manufacturing and distribution business alliance
- Private placement of $1.2 billion in asset backed notes
- Issuance of $225 million in senior subordinated notes under Rule
144A/Reg S - Public offering of $94 million of common stock
- Acquisition of $1.2 billion in receivables
