Brett C. Bogan

Mr. Bogan has experience in representing corporate and real estate clients of all sizes in a variety of business matters. He counsels clients in the intricacies of forming new business entities and nonprofit organizations, including corporations, partnerships and limited liability companies. In this capacity, Mr. Bogan addresses issues of general business planning, capital structures, specialized stockholders agreements, joint venture agreements and the protection and licensing of technology.

Mr. Bogan has represented clients in numerous transactions in mergers and acquisitions and corporate finance, including asset purchases and sales, stock purchases and sales, mergers, joint ventures, bank financings and public and private stock offerings. He also counsels companies on matters of general corporate law and periodic reporting, corporate governance and other obligations under United States securities laws.

Mr. Bogan also has extensive experience in all aspects of real estate and real estate development. Developments include: a high-end multi-building office park, a multi-building medical center campus, a 100+ acre high-end church campus financed with bonds, and a 600+ acre mixed use development consisting of commercial, industrial and office components.

Mr. Bogan also has extensive experience representing franchisees and franchisors in franchise matters and regulatory compliance.
